Do I need a lawyer WHEN BUYINg or selling a home?

The answer depends on the nature of the matter and your objectives. In many situations, a lawyer’s role extends beyond simply preparing documents.

For residential real estate transactions, lawyers are typically engaged to complete the conveyancing process, including reviewing title, receiving and disbursing funds, satisfying lender requirements, registering documents, and facilitating the transfer of ownership. Where a Realtor is not involved, legal advice may also be important when preparing or reviewing purchase agreements or construction contracts.

For wills and estate planning, properly prepared documents are essential, but they can only reflect the decisions that have been made. The real value of the estate planning process lies in making informed decisions, considering the legal, financial, and practical implications of those decisions, and ensuring that your documents accurately reflect your intentions. A properly prepared estate plan should also create an appropriate record of those decisions should questions later arise after incapacity or death, when you are no longer able to explain or clarify your wishes.

MY BUSINESS IS INCORPORATED OUTSIDE​ OF ALBERTA. DO I NEED TO REGISTER IT IN ALBERTA?

If a corporation carries on business in Alberta, it may be required to register as an extra-provincial corporation. The registration requirements and process can vary depending on where the corporation was incorporated, including whether it is incorporated in another Canadian jurisdiction, a New West Trade Partnership jurisdiction, or outside Canada. Determining whether registration is required and understanding the applicable requirements before commencing business in Alberta can help avoid unnecessary delays and compliance issues.

WHY DOES MY CORPORATION NEED A REGISTERED OFFICE OR SERVICE AGENT?

Many jurisdictions require corporations to maintain a registered office, registered agent, or service agent within the jurisdiction, even where the corporation’s owners, directors, or day-to-day operations are located elsewhere. These requirements help ensure that legal documents, government notices, and other official communications can be properly delivered and that the corporation remains accessible for legal and regulatory purposes.

These requirements commonly arise in several different situations. Alberta corporations are generally required to maintain an Alberta registered office. Corporations incorporated outside Alberta that carry on business in Alberta are generally required to appoint an Alberta registered office and service agent as part of the extra-provincial registration process. Similarly, individuals and businesses located outside Alberta often choose to incorporate an Alberta corporation and require a registered office to establish and maintain their corporation in Alberta.

​Many Alberta corporations also choose to use our office as their registered office and, where applicable, service agent as part of our ongoing corporate maintenance services. This can provide a consistent location for corporate records and official communications while helping corporations remain compliant with their ongoing corporate requirements.
